Board of Directors Job Descriptions

All Members

 

Term Length:

  • Directors are nominated & elected by the Nomination Committee and/or members to be presented at the AGM.

  • All directors serve for a one year term (can be re-elected each term).

 

Duties / Responsibility:

  • Regularly attends board meetings and important related meetings (AGM).

  • Makes serious commitment to participate actively.

  • Volunteers for and willingly accepts assignments and completes them thoroughly and on time.

  • Stays informed about board matters, prepares themselves well for meetings, and reviews and comments on minutes and reports.

  • Is an active participant in the board’s annual evaluation and planning efforts.

  • Participates in all events hosted by the board.

  • Participates in fundraising for the organization 9helping run a fundraiser and/or bringing fundraiser ideas to meetings).

 

President – Executive Director

 

Duties / Responsibility:

  • Provides leadership to the Board of Directors.

  • Makes sure the Board adheres to its bylaws and constitution.

  • Prepares the Board's agenda with input from Board Members.

  • Chairs meetings of the Board.

  • Encourages Board members to participate in meetings and activities.

  • Keeps the Board's discussion on topic by summarizing issues.

  • Keeps the Board's activities focused on the organization's mission.

  • Acts as one of the signing officers for cheques and other documents, such as contracts and grant applications.

  • Plays a leading role in supporting fundraising activities.

  • Promotes the organization's purpose in the community and to the media.

  • Prepares a report for the Annual General Meeting.

  • Helps keep website / FB Fundraising Page up to date.

 

Vice - President – Executive Director

 

Duties / Responsibility:

  • Acts in the absence of the President.

  • Learns the duties of the President and keeps informed on key issues.

  • Works closely as consultant and advisor to the President.

  • Acts as a signing officer for cheques and other documents.

  • Assist President in preparing a report for the Annual General Meeting.

  • Helps keep website / FB Fundraising Page up to date.

 

Secretary – Executive Director

 

Duties / Responsibility:

  • Keeps copies of the organization's bylaws and the Board's policy statements.

  • Keeps lists of officers, Board Members, committees and General Membership.

  • Notifies Board Members of Meetings / General Meetings.

  • Brings official minute book to meetings.

  • Keeps record of Board attendance.

  • Makes sure that there is a quorum at Board meetings (min. half of board).

  • Keeps accurate minutes of meetings.

  • Records all motions and decisions of meetings.

  • Signs Board minutes to attest to their accuracy.

  • Records all corrections to minutes.

  • Keeps copies of minutes of meetings.

  • Distributes copies of minutes to Board Members promptly after meetings.

  • Signs official documents of the organization as required.

  • Files the annual return, amendments to the bylaws and other incorporating documents with the Corporate Registry.

  • In the absence of the President/Chairperson and Vice-President/Chairperson, chairs Board meetings until the election of an alternate Chairperson.

 

Treasurer – Executive Director

 

Duties / Responsibility:

  • Gives regular reports to the Board on the financial state of the organization.

  • Keeps financial reports on file.

  • Acts as signing officer, with another officer or Executive Director for cheques and other documents.

  • Responsible for the accounting of the funds of the organization, its budget and expenditures. Keeps full and accurate accounts of all organizational receipts and disbursements.

  • Reconciles Bank Account

  • Receives and banks all monies due to the organization.

  • Disburses all monies as directed by the Board.

  • Disburse profits, whether they are held funds or sent to Edmonton account to be deposited into the specific individuals Jackrabbit account.

  • Hold in trust post dated Cheques  / EFT for Volunteer Requirement, to be given back once volunteer shift requirement has been completed.

 

Director at Large – Director

 

Duties / Responsibility:

  • Assist where needed.

  • Help with Event`s Coordinator where needed.

 

Volunteer Coordinator – Director

 

Duties / Responsibility:

  • Organize volunteers for upcoming fundraiser sorting and hand out.

  • Organize volunteers for any upcoming events using the SignUp Website.

  • Keep Track of Volunteer Hours/Shifts completed.

  • Receive Post dated Cheques for Volunteer Requirement and given to Treasurer to be held in trust.

 

Fundraiser Coordinator – Director

 

Duties / Responsibility:

  • Responsible for the organization of fundraisers (who is running the specific fundraiser.)

  • With the help of the other board members you will help with running the opening and closing of fundraisers.

  • When not running a fundraiser, assist the member who is running it (help with any questions or concerns).

  • Getting information for fundraisers such as cost, minimum order requirements for orders, profit on each item.

  • Ensure google form(s) are correct before launching a fundraiser.

  • Ensure profit tracking sheet is correct for profits of specific fundraiser.

 

Events Coordinator – Director

 

Duties / Responsibility:

  • Organize any events that are planned for the year. Such as Welcome Back BBQ, Silent Auction, Banquet if requested by gym owners.

  • Create an event committee when needed for specific events.
